Department Profile
Within Morgan Stanley’s Legal and Compliance Division, the attorneys and compliance professionals provide a wide range of services to our business units. They might help to structure a complex and sensitive cross-border transaction; advise on a new product introduction; develop a training program or defuse an investor dispute. They preserve the Firm’s invaluable reputation for integrity and protect the Firm from sanctions with policies and procedures that meet regulatory requirements around the world. They also strive to maintain cooperative relationships with governmental policy makers and the regulatory and self-regulatory agencies that govern the Firm’s businesses.
 
Background on the Position
In Asia, the Legal and Compliance Division is currently seeking a Vice President-level corporate secretarial professional to join the Asia Pacific Corporate Secretarial group.
 
Based in Hong Kong, this role should be experienced in managing the corporate secretarial functions of companies in Hong Kong and group initiatives related to corporate governance of select subsidiaries subject to regulatory oversight. Banking or financial institution experience and involvement in industry groups a plus.
 
Primary Responsibilities
-Leading the team on Corporate Secretary management of companies in Asia Pacific throughout their life-cycle; including active management of a portfolio of companies in Hong Kong and in other jurisdictions in Asia Pacific, including in preparing and organizing logistics for board meetings of a selected entity population, participating at shareholders meetings, Directors and other governance/committee meetings and preparing meeting minutes (including in Chinese if required);
-Ensuring external filings with government
authorities are completed within statutory time limits with regard to changes of corporate information;
-Managing updates of authorized signatories for the regional companies, organizing powers of attorney from time to time;
-Timely data capture of all relevant data in an online database, and online data repositories;
-Assisting in projects (as maybe required) related to ongoing legal entity framework/oversight and related work-streams; and
-Other company management functions as may be required.

Qualifications

Skills required (essential)
-Qualified Company Secretary and/or Lawyer with ICSA qualification at least 8 years of post-qualification experience in professional firms, banking or financial institutions or listed companies
-Team management experience
-Proficient in both written English and Chinese, fluency in Putonghua preferred;
-Attention to detail and a well-organized approach to work;
-Ability to work with numerical information, plus analytical and problem-solving skills
-Confidence to liaise with high-profile company staff and board members;
-Integrity and discretion when handling confidential information; and
-An interest in, and understanding of, business practices and corporate governance.
