The role is a Tokyo-based legal position within General Counsel APAC – Japan. The role is to provide legal support for the Japan-based Global Markets (FID & Equities sales and trading) business, including broadly the following areas: OTC derivatives and structured products, CS and third party MTN issues, CS and third party Uridashi placements, bond repackaging, Cayman unit trusts and products and other cross-border functions relevant to CS franchise in Japan.
The lawyer’s responsibilities will include:
  • Advise on Japan businesses (including OTC and cash businesses), which includes reviewing and drafting term-sheets for structured notes, OTC derivatives, long-forms confirmations and pricing supplements, and manage structured transactions (including a focus on suitability, reputational risk, cross-border, regulatory requirements, risk disclosure, etc.)
  • Engage with and manage external counsel (including review of legal documentation and opinions, etc.)
  • Provide legal transaction management support to the MTN/third party issuance desk with respect to third party issued medium term notes (MTNs)
  • Advise on internal policies and training and collaboration with other relevant stakeholders
  • Act as legal adviser on certain regional committees and actively participate in internal working groups for matters relevant to the FID & Equities business in Japan and broadly to the APAC division
  • Draft and review sales and trading documentation and advise on Industry trading/collateral documentation and regulatory reforms including participation in relevant industry groups (i.e., ISDA, etc.)
  • The successful candidate with report to the Japan General Counsel and have dotted reporting lines to the head of Global Markets (FID) legal and the head of Global Markets (Equities) legal in APAC

You Offer...

  • Qualified lawyer with a minimum of 4-8 years of relevant experience
  • An interest in financial markets / services essential
  • Experience in dealing with Industry OTC documentation (i.e., ISDA, GMRA, etc.,) and related collateral, clearing and netting arrangements
  • Experience in relation to all OTC derivatives structured products (also restructuring, work-out and close-out experience desirable)
  • Relevant in-house or equivalent law firm experience
  • Financial regulatory experience in APAC desirable
  • The role requires a proactive, motivated individual with professional skills (able to effectively identify relevant issues and resolve them in a timely manner - also demonstrating principled behavior)
  • The ability to work effectively in an organized, autonomous and disciplined manner
  • The ability to work closely and in partnership with the business and relevant stakeholders and develop a thorough understanding the Global Markets business capabilities and requirements in the APAC division (becoming a trusted advisor for the Global Markets division and other relevant stakeholders)
  • The ability to be a team player (work and communicate effectively with relevant stakeholders / colleagues in a collaborative, transparent manner), resilient under pressure, and able to master new material quickly
  • The ability to demonstrate strong people leadership skills in providing support to the Global Markets team in Japan and in working effectively with colleagues and other relevant stakeholders
