VP, Assistant General Counsel Legal Issuer Services and Debt Capital Market

Location: APAC-HKG-Hong Kong-Hong Kong

  • The role is within Citi’s BCMA legal team supporting the CMO and Issuer Services businesses.  BCMA Legal provides legal coverage and support for Citi’s Debt and Equity Capital Markets, Issuer Services and Mergers & Acquisitions teams (which includes real estate and other structured debt finance). 
  • The Issuer Services business is a global business providing a broad array of products supporting the bond and loan markets, issuing depositary receipts and providing escrow solutions to address a wide variety of commercial needs.  It has consistently recorded exceptionally strong financial performance through the current economic cycle, delivering core revenue growth with a strategy of product and geographical diversification very much to the fore.  A combination of diversification and increased regulatory scrutiny creates a comprehensive range of challenging and constantly changing legal and regulatory issues resulting in a truly varied workload which will suit a person capable of calmly juggling a variety of competing high priorities often in completely new contexts.  Involvement in defaults and litigation (sometimes impacting Citi relationship clients) is almost inevitable and provides the opportunity to work on matters with a high profile both within Citi and outside.

Key Responsibilities:

  • To give advice and provide legal expertise in support of business development and transaction execution
  • To advise on and review international capital market documents (such as Agency Agreements, Trust Deeds, security documentation and loan documentation) and associated documentation (such as NDAs and Powers of Attorney) as well as escrow and custody documentation
  • Negotiation of product documentation in relation to complex transactions/negotiations
  • Co-ordinating multi-jurisdictional transactions and working alongside the Issuer legal team globally as required
  • Identifying and (where appropriate) dealing with other risks, such as franchise, tax or operational risk;
  • Advising the business on bank policy matters and ensuring that the bank’s risk guidelines are maintained to a high level
  • Instructing external lawyers and acting as liaison between external advisers and the business
  • Assisting the business to develop new products and expand into new jurisdictions
  • Advising on legal and regulatory developments relevant to Issuer Services
  • Review of information provided by foreign legal counsel relating to the expansion of the business
  • Managing dispute resolution in partnership with the business, external counsel and internal litigation colleagues

  • At least 3 years PQE
  • English and/or NY and/or HK law qualified
  • A general DCM background, ideally can demonstrate experience of advising on matters from an Issuer Services perspective
  • Experience advising and supporting clients’ legal needs and proven experience in providing transactional legal support
  • A familiarity with corporate trust standard terms and applicable English and/or NY and/or HK law would be beneficial
  • Experience of the following industry legal agreements would be beneficial:
  • LMA standard forms
  • Standard bond documentation

  • Strong academic qualifications
  • Legal qualification (Solicitor or equivalent) mandatory
  • Experience in a major law firm and/or financial institution


  • Highly organised and able quickly to assess situations
  • Ability to prioritise – and if necessary escalate – clearly and effectively 
  • Willingness to think on their feet and not be scared of something new – also to identify, and ask, the right questions
  • Gravitas to operate effectively with senior members of the bank globally
